To support its growing operations and regulatory obligations, Sids Farm seeks a qualified Company Secretary with LLB to lead corporate secretarial, legal, and compliance functions.
Job Description
Role: AM Finance (CS–Legal & Compliance)
Department: Legal & Compliance
Reporting To: Senior Management / Board of Directors
Location: Hyderabad
Role Overview
The Company Secretary (CS) with LLB is a key governance and legal professional responsible for ensuring compliance with statutory and regulatory requirements, maintaining high standards of corporate governance, and safeguarding the company’s legal interests.
The role involves managing all corporate secretarial matters, vetting and drafting business-critical contracts, ensuring licensing and regulatory compliance (especially relevant to the dairy and food industry), providing legal opinions, and advising senior management and the Board on legal and governance matters. The position requires close coordination with internal teams, regulatory authorities, auditors, and external legal counsel.
Key Responsibilities
1. Contract Vetting & Drafting
- Draft, review, vet, and negotiate all agreements and contracts executed by the company, including but not limited to:
- Client agreements
- Commercial and business agreements
- Lease and rent agreements
- Distributor agreements
- CFA agreements
- Any other contractual documents required for company operations
Ensure contracts are legally sound, clear, enforceable, and compliant with applicable laws.
Identify and highlight commercial, legal, and operational risks in contracts and propose mitigation measures.
Coordinate with internal teams to align contractual terms with business objectives.
2. Compliance & Secretarial Work
Ensure full compliance with the Companies Act, 2013 and applicable rules, regulations, and circulars.
Prepare, review, and file statutory returns and documents, including:
- ROC filings
- Board and shareholder resolutions
- Annual filings and disclosures
Maintain statutory registers, records, and secretarial documentation.
Organize and support Board and Committee meetings.
Draft agendas, notices, minutes, and corporate governance documents.
Advise the Board and senior management on corporate governance best practices, legal obligations, and compliance matters.
3. Legal Opinions & Advisory
Provide legal opinions supported by bare acts and relevant case laws on:
- Business transactions
- Licensing and regulatory matters
- Operational and compliance issues
Coordinate and liaise with external legal counsel when required.
Handle legal notices, replies, and legal correspondence.
Support dispute resolution and litigation management, as applicable.
4. Risk Management & Due Diligence
Monitor changes in laws, rules, and regulations impacting the company’s operations.
Ensure company policies, contracts, and processes are updated in line with regulatory changes.
Conduct legal due diligence for:
- Vendors
- Distributors
- Partners
- Other counterparties
Identify compliance gaps and recommend corrective and preventive actions.
5. Licensing & Regulatory Compliance
Ensure timely application, renewal, and ongoing compliance of statutory and regulatory licenses, including:
- FSSAI
- Pollution Control Board
- Other licenses and approvals applicable to dairy and food industry operations
Coordinate with regulatory authorities for inspections, approvals, and compliance reporting.
6. Statutory Audits, Internal Audits & Due Diligence
Oversee statutory audits, internal audits, and legal due diligence processes.
Act as the primary liaison with statutory auditors, internal auditors, and regulatory authorities.
Support audits, inspections, and inquiries by statutory departments.
Ensure timely resolution and closure of audit observations and compliance issues.
Required Skills & Qualifications
- Bachelor’s degree in Law (LLB), Business Administration, or a related field.
- Qualified Company Secretary (ACS) with valid membership of the Institute of Company Secretaries of India (ICSI).
- Minimum 5+ years of experience in corporate secretarial, legal, and compliance roles.
- Strong knowledge of corporate laws, governance frameworks, and regulatory compliance.
- Familiarity with the Companies Act, 2013, SEBI regulations, and applicable industry laws.
- Experience using corporate secretarial and compliance management software.
- Excellent communication and interpersonal skills with the ability to engage effectively with senior executives and Board members.
- High level of integrity and ability to handle confidential information with discretion.
- Strong attention to detail and ability to work independently in a fast-paced environment.
